Terms of Service

These Terms of Service govern your purchase and use of lab testing services offered through the NXT Labs platform. Please read them before completing checkout.

1. Acceptance of Terms

By creating an account, placing an order, or otherwise using the NXT Labs website, patient portal, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy and HIPAA Authorization, each incorporated by reference.

If you do not agree to these Terms, do not use the Services or complete a purchase.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract to purchase testing on your own behalf. Orders placed on behalf of a minor or another adult require that you have the legal authority to consent to testing for that individual.

You represent that all information you provide during checkout, including identity, contact, and date of birth information, is accurate and that you are the person whose specimen will be collected, unless you are a parent, legal guardian, or authorized representative acting on that person's behalf.

3. Description of Services

NXT Labs offers a platform to browse, purchase, and manage laboratory testing panels. Orders are fulfilled by independent, third-party laboratories and specimen collection partners. NXT Labs is not a laboratory and does not perform testing itself.

Available panels, pricing, turnaround times, and collection requirements are described on each panel's product page and are subject to change. We will notify you of material changes that affect an order you have already placed.

4. Account and Patient Portal

Certain features, including viewing results and managing orders, require a patient portal account secured by a password. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.

Notify us immediately at the support contact below if you suspect unauthorized access to your account.

5. Ordering, Pricing, and Payment

All prices are displayed in U.S. dollars and are due in full at checkout. Payments are processed by Stripe, Inc.; NXT Labs does not store your full payment card details.

Orders are not confirmed until payment is successfully authorized. You agree to provide current, complete, and accurate billing and contact information.

We reserve the right to refuse or cancel any order, including for suspected fraud, pricing errors, or unavailability of a test, in which case any payment collected for the canceled portion will be refunded.

6. Specimen Collection and Lab Processing

Depending on the panel purchased, specimen collection may occur at a partner draw site, via an at-home collection kit, or through another method specified on the panel's product page. You are responsible for completing collection in accordance with the instructions provided and within any stated time window.

Delays, errors, or rejections caused by improper collection, mislabeling, insufficient specimen volume, or failure to follow provided instructions are outside NXT Labs' control and may require a repeat purchase to obtain a valid result.

7. Results and No Medical Advice

Test results are provided for informational purposes and are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of a qualified physician or other healthcare provider with questions about a medical condition or your test results.

NXT Labs and its laboratory partners do not provide medical advice through the Services. Where a panel includes physician order review or provider consultation, the scope of that service will be described on the relevant product page.

8. Medical Emergency Disclaimer

The Services are not intended for use in a medical emergency. If you believe you are experiencing a medical emergency, call 911 or go to the nearest emergency room immediately. Do not rely on the Services, including result turnaround times, in any urgent or emergency situation.

9. Cancellations and Refunds

You may cancel an order for a refund any time before specimen collection has occurred or before the order has been submitted to the laboratory for processing, whichever is earlier, by contacting support.

Once a specimen has been collected or processing has begun, the order is generally non-refundable because the associated laboratory costs have been incurred, except where required by law or expressly stated otherwise on the panel's product page.

10. Trainer and Referral Programs

If you purchase through a referral link or code associated with a trainer, clinic, or other partner, that partner may receive a commission on your order. Participation in a referral program does not change the price you pay or the services you receive.

11. Prohibited Conduct

You agree not to: provide false identity or health information; submit a specimen on behalf of someone other than the account holder without proper authorization; attempt to interfere with or gain unauthorized access to the Services; or use the Services for any unlawful purpose.

12. Intellectual Property

All content on the NXT Labs platform, including text, graphics, logos, and software, is owned by NXT Labs or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without prior written consent.

13. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXT LABS' TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE ORDER GIVING RISE TO THE CLAIM. NXT LABS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless NXT Labs, its officers, employees, and laboratory partners from any claims, damages, or expenses arising out of your breach of these Terms or your misuse of the Services.

15. Privacy and HIPAA

Our collection, use, and disclosure of your personal and health information is described in our Privacy Policy and HIPAA Authorization, which you are asked to review and accept separately during checkout.

16. Dispute Resolution and Governing Law

These Terms are governed by the laws of the state in which NXT Labs is organized, without regard to conflict-of-laws principles. Any dispute arising out of these Terms or the Services will be resolved as described in the final, counsel-approved version of this agreement.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by an updated effective date at the top of this page. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

19. Telehealth Consent

Where a panel or service includes a telehealth consultation, that consultation is delivered via communication technologies (such as internet or cellphone) to facilitate diagnosis, consultation, treatment, education, care management, and self-management of your health care, and is provided by Junction and its affiliate Openloop Healthcare Partners, PC and related affiliated professional entities (collectively, the "Telehealth Providers"). By purchasing or using a telehealth service through the Services, you acknowledge and agree to the following:

(a) Telehealth consultations are conducted through videoconferencing, telephonic, and asynchronous technology, and your Telehealth provider will not be physically present in the room with you.

(b) There are potential risks to the use of telehealth technology, including but not limited to interruptions, delays, unauthorized access, and other technical difficulties. Either you or your Telehealth provider may discontinue a telehealth appointment if the technical connection is not adequate for the visit.

(c) You understand that you could seek an in-office visit rather than obtain care from a Telehealth provider, and that by choosing to participate in a telehealth consultation you are doing so with Junction, an affiliate of Openloop Healthcare Partners, PC, and the following affiliated entities: Openloop Healthcare Partners, PC; Openloop Healthcare Partners California, PC; Openloop Healthcare Partners Colorado, PC; Openloop Healthcare Partners New Jersey, PC; Openloop Healthcare Partners Wisconsin, SC; Reliant.MD Medical Associates, PLLC; Reliant.MD Medical Associates California, PC; Reliant.MD Medical Associates Colorado, PC; Reliant.MD Medical Associates New Jersey, PC; Reliant.MD Medical Associates Wisconsin, SC; MECNB Physician Services, PC; MECNB Physician Services California, PC; MECNB Physician Services Colorado, PC; MECNB Physician Services New Jersey, PC; and MECNB Physician Services, SC.

(d) To protect the confidentiality of your health information, you agree to undertake your telehealth consultation in a private location, and you understand that your Telehealth provider will similarly be in a private location.

(e) You are responsible for payment of any amounts due and owing resulting from your telehealth visit.

(f) In an emergent situation, you understand that the responsibility of your Telehealth provider may be to direct you to emergency medical services, such as an emergency room.

By completing checkout for a service that includes a telehealth consultation, you certify that you have read this telehealth consent section and/or had it explained to you, that you understand the risks and benefits of a telehealth appointment, and that you have been given the opportunity to ask questions and that such questions have been answered to your satisfaction.
